Terms of Service

Effective October 15, 2026

Apart from two dated corrections, marked in sections 1 and 4 where they apply, only the effective date has changed in this document. It is re-issued because the Privacy Policy it refers to changed materially: Anthropic and GitHub are now named as sub-processors, with what each receives; the app now sends short error reports when a screen fails; and the policy now says accurately how long server logs are kept. The version in force until then is at /terms/2026-08-31/.

These terms are an agreement between Tidalyst LLC, a Florida limited liability company ("Tidalyst", "we"), and the business that opens an account ("the farm", "you"). By creating an account, inviting members, or subscribing, you agree to them. They are written to be read; if anything is unclear, ask before you agree: legal@tidalyst.com.

1. What the service is

Tidalyst is a system of record for aquaculture operations: plantings, splits, harvests, standing inventory, seed performance, sales, and the supporting records a working farm keeps. It is record-keeping software, not advice. It does not tell you when to plant, harvest, or sell, and it is not a substitute for your own judgment, your lease terms, or your regulator's requirements.

Not a regulatory compliance service. Shellfish farming is regulated — leases, harvest tagging, time and temperature controls, and the records your state's shellfish sanitation program requires you to keep. Tidalyst can hold copies of operational data that supports those obligations, but it is not certified for them, does not file anything on your behalf, and — except for forms it expressly prepares as drafts for you to check, sign and file yourself — does not generate the required forms or tags. Using it does not satisfy any regulatory recordkeeping requirement. Your official records, and your compliance, remain yours.

Corrected September 19, 2026. Until this date this section said flatly that Tidalyst does not generate the required forms or tags. That stopped being true when the acreage report shipped, and this release adds a monthly inventory workbook and a disaster-loss packet. What the product prepares is a draft for you to check, sign and file yourself; it still files nothing, certifies nothing, and checks no filing for correctness. This correction narrows what we disclaim and takes nothing away from you. The version in force before this correction is at /terms/2026-08-31/.

2. Accounts and members

Each farm is a separate organization in the service. The farm's owner account controls who else may join and at what role, and is responsible for the people it invites. Keep credentials private; each person signs in as themselves. You are responsible for activity under your organization's accounts until you tell us something is wrong.

3. Fees and billing

4. Your data

The farm's operational records belong to the farm. We do not acquire ownership of your data by hosting it. You grant us the license needed to store, process, and display it — to you and the members you authorize — in order to run the service, and nothing more.

The operational ledger is append-only by design: a recorded movement cannot be edited, and a correction is recorded as a new entry alongside the original rather than over it. The one exception is your own — an owner or manager of your farm can permanently delete an entry the farm recorded, which removes that entry and everything that existed only because of it. It is not recoverable, and it is the only way anything leaves the record. We cannot do it for you: a deletion requires a signed-in member of your farm, so neither our support access nor our own scripts can remove your history. That is why the record is trustworthy enough to show a buyer or a regulator — the only hand that can change it is the farm’s own.

Corrected September 12, 2026. Until this date this section said the database permitted no deletions by anyone. That was written before a farmer-initiated permanent delete existed, and it had been inaccurate since that feature shipped. The behaviour has not changed on the date this sentence did; only the description was wrong. The version in force before this correction is at /terms/2026-08-31/.

We will never: sell your data; share it for marketing; show another farm your operational data in any form attributable to you; use your data to build models or benchmarks visible to another farm without your explicit, revocable consent; or access your data for support without a request from your farm.

An owner or manager can export a complete copy of the farm's operational records, as CSV files, from inside the application at any time. On written request we will also provide anything that self-service export does not cover within 30 days, and will delete your organization's data on request, subject to records we are legally required to keep. Our privacy practices are described in the Privacy Policy.

5. Acceptable use

Do not use the service to break the law, to store data you have no right to hold, to probe or disrupt the service or other farms' isolation, or to resell access. We may suspend an account that threatens the service or other customers, and will tell you why.

6. Availability and support

Tidalyst is a young product under active development. We work to keep it available and your data safe, but the service is provided without an uptime guarantee. Support is by email and is answered by the people who build the product.

7. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Records in Tidalyst reflect what your people entered; you are responsible for the accuracy of what you submit to buyers, insurers, lenders, and regulators, even where the service helps you prepare it. Tidalyst is not liable for crop loss or for operational decisions made with or without the software.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or lost profits. Tidalyst's total liability arising out of the service is capped at the fees you paid in the twelve months before the claim arose. Nothing here limits liability that cannot lawfully be limited.

9. Termination

You may stop using the service and cancel at any time. We may terminate for material breach of these terms if the breach is not cured within 30 days of notice. After termination, the export right in section 4 remains available for 30 days.

10. Changes to these terms

We may update these terms as the product grows. For material changes we will give at least 30 days' notice by email to the owner account before they take effect. Continuing to use the service after the notice period is acceptance.

11. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes belong to the state or federal courts located in Florida, and each party consents to their jurisdiction.
